Nicole Rabner is a partner in the firm's Securities Department, and a member of the Securities Litigation and Enforcement Practice Group. She joined the firm in 2002.

Before attending law school, Ms. Rabner served in the Clinton Administration in the White House as Special Assistant to the President for Domestic Policy and Senior Advisor to the First Lady.

Practice

Ms. Rabner’s practice concentrates on securities enforcement and securities litigation. She represents investment advisers, public companies, financial institutions and individuals subject to government investigations involving matters such as financial reporting, accounting practices, insider trading and disclosure. Ms. Rabner also has advised several clients in the aftermath of high-profile data breaches. She regularly conducts internal investigations into business irregularities and potential misconduct, and she defends clients responding to requests for information and facing significant enforcement actions involving a range of government agencies, including the US Securities and Exchange Commission (SEC), the Department of Justice, and offices of state attorneys general.

Ms. Rabner has also handled complex litigation involving the securities laws in federal and state court, including shareholder derivative litigation, shareholder class action litigation, and government-facing litigation. She defended a public company Chief Financial Officer through a jury trial against securities fraud and other charges brought by the SEC; the client was found not liable on all claims.

Ms. Rabner’s practice also includes advising individuals and corporations facing congressional investigations or called to testify in administrative or congressional hearings. In addition, Ms. Rabner has advised corporations and trade associations on a range of public policy matters and legislative proposals.

Ms. Rabner maintains an active pro bono practice that has included immigration matters and bringing suit on under the Freedom of Information Act against the Department of Health and Human Services.
