Woodruff & Sawyer Company presented a panel discussion on the changing legal landscape that included advice on how to better protect directors and officers. Given the increasingly global nature of business, many US public and private companies find it advantageous to incorporate subsidiaries in jurisdictions outside of the United States. Conventional wisdom has long stated that officers and directors of these foreign subsidiaries face little risk of personal liability. Unfortunately, conventional wisdom is, in this case, increasingly unreliable.
