Regulatory Counseling
We leverage market-leading regulatory practices to help defense tech companies prevent and overcome regulatory challenges.
- Government Contract Counseling. We help defense tech companies navigate the complex world of federal procurement and other government transactions—including in classified environments. We counsel clients on issues arising in the pursuit or performance of government contracts, including contract negotiations, intellectual property rights, commercial item status, flow-down clauses and other FAR/DFARS issues.
- Government Contract Disputes. We protect our defense tech clients’ interests in federal court litigation, board of contract appeals litigation, bid protests and other contested proceedings. Our pragmatic approach to problem solving focuses on proactive means for resolving disputes quickly and efficiently.
- National Security Regulatory Counseling. We advise on key national security areas affecting government contractors, such as cybersecurity; industrial security and FOCI mitigation; export controls and economic sanctions; and supply chain risk management. We also advise clients on US foreign ownership restrictions and represent them in the clearance of proposed transactions before the Committee on Foreign Investment in the United States (CFIUS).
- National Security and Government Contract Related Investigations. We help our clients resolve high-stakes government inquiries while mitigating legal risk, disruption to business operations and damage to customer relationships. These investigations involve the False Claims Act, Procurement Integrity Act, Truth in Negotiations Act, Anti-Kickback Act and Foreign Corrupt Practices Act, as well as enforcement of the national security regulatory regimes noted above. We assist clients in responding to enforcement actions, government subpoenas, whistleblower complaints and inquiries from federal inspectors general, government auditors and Congress.
- Antitrust. We have one of the leading antitrust and competition practices in the United States and Europe and have secured antitrust clearance for hundreds of complex mergers and joint ventures, including notable transactions involving defense contractors.

Corporate Counseling
Advising defense tech companies on corporate matters requires sector-specific knowledge and experience. For example, mergers and acquisitions involving government contractors and subcontractors present unique notification, consent, diligence and integration issues that must be reflected in negotiations and transaction documents.
- Startup Counseling. We help entrepreneurs in the defense tech sector launch their businesses; fund their growth through angel, venture and strategic financing; and steer their companies to sale, IPO and market leadership.
- Corporate Governance. We prepare and implement key agreements with management, employees, consultants and advisors; design equity incentive plans; advise on employee stock purchase agreements; and counsel founders on how best to achieve liquidity. We attend board meetings and offer strategic advice and counseling on important business decisions.
- M&A. - AM General, a privately held company that designs, engineers, manufactures and supplies high-quality specialized vehicles for military and commercial customers worldwide, in the sale of its commercial assembly plant in Mishawaka, Indiana, to SF Motors, an electric vehicle clean mobility company.
- BAE Systems in several transactions, including the sale of BAE Systems Safety Products Inc. and Schroth Safety Products Gmbh to Takata Corporation; its acquisition of OASYS Technology; and its acquisition of Atlantic Marine.
