WilmerHale represented TechTarget Inc., a global data and analytics leader offering business-to-business companies data-driven marketing services, in connection with its private placement of $360 million aggregate principal amount of 0.00% Convertible Senior Notes due 2026. The offering priced on December 8, 2021 and closed on December 13, 2021. On December 17, 2021, the initial purchasers exercised their option to purchase an additional $54 million aggregate principal amount of the Notes, for a total of $414 million aggregate principal amount of Notes, which closed on December 21, 2021. J.P. Morgan Securities LLC, Goldman Sachs & Co. LLC and Deutsche Bank Securities Inc. acted as representatives of the initial purchasers for the offering.

Concurrently with the offering, WilmerHale also assisted TechTarget in using a portion of the net proceeds from the offering, along with shares of its common stock, to repurchase or exchange outstanding convertible notes.
